1. Acceptance of these Terms

These Terms of Service ("Terms") are a binding agreement betweenRelatance LLC, a Washington limited liability company ("Relatance," "we," "us," or "our"), and the person or entity accessing or using the Service ("Customer," "you," or "your").

By creating an account, joining the waitlist, participating in the Founding Partner program, or otherwise accessing or using the Service, you accept these Terms on behalf of yourself and, if you are acting on behalf of an organization, on behalf of that organization, and you represent that you have the authority to bind that organization to these Terms. If you do not agree to these Terms, do not access or use the Service.

2. Relationship to other agreements

Some Customers — including participants in our Founding Partner program — enter into a separately signed order form, pilot agreement, or similar written agreement with Relatance ("Order Form"). Where an Order Form exists and directly conflicts with these Terms, the Order Form controls solely to the extent of that conflict; these Terms otherwise continue to apply in full, including to anything the Order Form does not address. If no Order Form exists between you and Relatance, these Terms are the entire agreement governing your use of the Service, subject to the Privacy Policy referenced below.

Our Privacy Policy is incorporated into these Terms by reference and describes how we collect, use, and share information in connection with the Service.

3. Definitions

Service
The Relatance platform, including our web application, mobile applications, application programming interfaces, and Model Context Protocol ("MCP") server, together with the underlying relationship graph engine ("Orbit"), natural-language parsing engine ("Kosmos"), and conversational query layer ("Sava").
Organization
A workspace within the Service associated with a Customer, to which one or more Authorized Users belong.
Authorized User
An individual whom Customer permits to access the Service under Customer's Organization.
Customer Data
All data submitted to, imported into, or generated within the Service by or on behalf of Customer or its Authorized Users, including Contact Data.
Contact Data
Personal data about individuals who are not themselves Authorized Users — such as a Customer's business contacts, prospects, counterparties, or other third parties — that Customer or its Authorized Users submit to, import into (including via LinkedIn export, vCard, CSV, or photographs of business cards or documents), or cause to be created within the Service.

4. Eligibility and accounts

The Service is intended for business use by adults acting in a professional capacity and is not directed to individuals under 18 years of age. You must provide accurate registration information and keep your account credentials confidential. You are responsible for all activity that occurs under your account and for your Authorized Users' compliance with these Terms.

Within an Organization, data is shared among Authorized Users by default; Relatance provides configurable permission rules (by user, team, or role, and by scope) that Customer's administrators can use to restrict that default sharing. Configuring and maintaining those permissions to match your intended access model is your responsibility.

5. Your responsibility for Contact Data

This is the most important section of these Terms if you plan to use Relatance to hold information about people other than your own team.

The Service is built to hold a graph of relationships — which necessarily includes personal data about people who have never signed up for Relatance and have no account of their own. When you or your Authorized Users submit Contact Data to the Service, you, not Relatance, are the party who collected that data and who decides why it is being processed. Relatance processes Contact Data solely on your behalf and at your direction, as a service provider, to provide the Service to you.

By submitting Contact Data to the Service, you represent and warrant that:

(a) you have the legal right to submit that data and to have it processed by Relatance as described in these Terms and our Privacy Policy; (b) you have provided any notices, and obtained any consents, required by applicable law before submitting that data; and (c) your use of the Service to collect, store, or analyze Contact Data — including relationship-strength and staleness signals — complies with applicable law governing your collection and use of personal data about third parties.

If an individual whose Contact Data appears in your Organization contacts Relatance directly about that data, we will generally direct them back to you as the party responsible for that data, and may share your contact information with them for that purpose.

6. Acceptable use

You agree not to, and not to permit any Authorized User to:

(a) use the Service to collect or process personal data in violation of applicable law or without the rights and notices described in Section 5; (b) use the Service to harass, stalk, or unlawfully surveil any individual; (c) attempt to gain unauthorized access to the Service, other Customers' Organizations, or the systems supporting the Service; (d) reverse engineer, decompile, or attempt to derive the source code of the Service, except to the extent applicable law prohibits such a restriction; (e) use the Service to build a competing product; (f) interfere with or disrupt the integrity or performance of the Service, including through excessive automated use of the API or MCP server; or (g) use the Service in a manner that violates any applicable export control or sanctions law.

7. AI processing and third-party AI clients

Parsing. When you submit free-text notes, documents, or images (for example, a photograph of a business card or whiteboard) to be parsed into the graph, that content is sent to our AI processing subprocessor to extract structured data. This may include Contact Data contained in what you submit. See our Privacy Policy for the specific subprocessor currently used.

Connecting third-party AI clients. The Service allows you to connect external, third-party AI products (for example, Claude, ChatGPT, Microsoft Copilot Studio, or Cursor) to your Organization via MCP and OAuth. If you choose to do this, you are authorizing that third-party product to read data from, and to create, modify, or delete data within, your Organization's graph, subject to the permissions granted during that connection. That third-party product's own terms and privacy practices govern its handling of any data it receives once you have connected it. Connecting a third-party AI client is optional and under your control — you can disconnect it at any time.

8. Fees and billing

Joining the waitlist or applying to the Founding Partner program does not itself obligate you to pay any fee. Where you have agreed to pay for the Service — currently through an Order Form associated with a Founding Partner pilot — fees, billing frequency, and payment terms are as set out in that Order Form or invoice. Fees are non-refundable except as expressly stated in an applicable Order Form or as required by law. As the Service moves toward self-serve subscription plans, this section will be updated to describe in-app billing, and continued use of the Service after that update takes effect constitutes acceptance of it.

9. Intellectual property

Relatance and its licensors retain all right, title, and interest in and to the Service, including all underlying software, technology (patent pending), and improvements, excluding Customer Data. We grant you a limited, non-exclusive, non-transferable right to access and use the Service during the term of your subscription or pilot, solely for your internal business purposes and subject to these Terms.

As between you and Relatance, you retain all right, title, and interest in and to Customer Data. You grant Relatance a limited license to host, process, transmit, and display Customer Data solely as necessary to provide, maintain, and support the Service to you, and, in de-identified or aggregated form that does not identify you or any individual, to improve and analyze the Service.

10. Data export

You may export your Organization's Customer Data from the Service in a structured format at any time during an active subscription or pilot. We recommend exporting any Customer Data you wish to retain before terminating your account, since — as described in Section 11 — deletion is immediate and permanent.

11. Term, suspension, and termination

These Terms remain in effect for as long as you maintain an account or Order Form with us. Either party may terminate an account at any time; termination of an Order Form is governed by its own terms. We may suspend or terminate your access to the Service if you materially breach these Terms and do not cure that breach within a reasonable time after notice, or immediately if necessary to protect the Service, other Customers, or third parties.

Deletion is immediate and permanent. When an account or Organization is deleted — whether by you or, where applicable, by another Authorized User with sufficient permissions within your Organization — the associated Customer Data is permanently and immediately deleted from our production systems. We do not maintain a recovery window or "undo" period for deleted accounts or Organizations beyond routine, short-lived infrastructure backups retained for disaster-recovery purposes, which are not available to restore individually deleted data on request.

12. Disclaimer of warranties

The Service is provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that any output generated by Kosmos or Sava will be accurate or complete. Nothing in this section limits any warranty that cannot be excluded under applicable law, or any warranty separately given in an Order Form.

13. Limitation of liability

To the maximum extent permitted by law, neither party will be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or relating to these Terms or the Service, even if advised of the possibility of such damages.

To the maximum extent permitted by law, each party's total aggregate liability arising out of or relating to these Terms or the Service will not exceed the fees Customer actually paid to Relatance in the twelve (12) months immediately preceding the event giving rise to the claim. This limitation does not apply to either party's indemnification obligations, a party's breach of Section 15 (Confidentiality), or liability that cannot be limited under applicable law.

14. Indemnification

You will defend, indemnify, and hold harmless Relatance and its officers, employees, and agents from and against any third-party claims, damages, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) Contact Data you submitted to the Service without the rights or notices described in Section 5; (b) your use of the Service in violation of Section 6 (Acceptable Use); or (c) your violation of applicable law in connection with your use of the Service.

15. Confidentiality

Each party will use the other's non-public information disclosed in connection with these Terms — including the terms of any Order Form and, for Relatance, your Customer Data — solely to perform its obligations under these Terms, and will protect it using at least the same degree of care it uses for its own confidential information of similar importance, but no less than a reasonable degree of care. This section does not restrict disclosures required by law or to a party's professional advisors under an obligation of confidentiality.

16. Governing law and venue

These Terms are governed by the laws of the State of Washington, without regard to its conflict-of-laws principles. Subject to Section 17 (Dispute Resolution), the state and federal courts located in Chelan or Douglas County, Washington have exclusive jurisdiction over any dispute not subject to arbitration, and each party consents to personal jurisdiction and venue there.

17. Dispute resolution and arbitration

Please read this section carefully. It affects your legal rights, including your right to file a lawsuit in court.

Except for claims for injunctive relief regarding misuse of intellectual property or breach of Section 5 or Section 15, any dispute, claim, or controversy arising out of or relating to these Terms or the Service will be resolved by binding arbitration on an individual basis, rather than in court, before a single arbitrator administered under a recognized commercial arbitration provider's rules, in Washington State (or remotely, by agreement of the parties). Judgment on the arbitration award may be entered in any court of competent jurisdiction.

Class action waiver. You and Relatance each agree that any proceeding will be conducted only on an individual basis and not as part of a class, consolidated, or representative action. If this class-action waiver is found unenforceable as to a particular dispute, that dispute alone (and not the rest of this arbitration agreement) will proceed in court under Section 16 instead.

18. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will update the "Last updated" date above and, where appropriate, provide additional notice (such as an email or an in-app notice). Continued use of the Service after a change takes effect constitutes acceptance of the updated Terms.

19. General provisions

You may not assign these Terms without our prior written consent; we may assign these Terms in connection with a merger, acquisition, or sale of substantially all of our assets. If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect and the unenforceable provision will be modified to the minimum extent necessary to make it enforceable. These Terms, together with the Privacy Policy and any applicable Order Form, constitute the entire agreement between you and Relatance regarding the Service and supersede any prior agreements on that subject. Neither party is liable for delay or failure to perform caused by circumstances beyond its reasonable control. Notices to Relatance under these Terms should be sent to the contact address in Section 20.
